Contents
1. Parties and relationship
This Helper Services Agreement ("Agreement") is between ShoulderCrew ("ShoulderCrew", "we") and the individual or business that registers as a Helper on the ShoulderCrew platform ("Helper", "you"). ShoulderCrew operates a platform that connects drivers who need roadside help with independent Helpers. ShoulderCrew does not itself provide roadside services.
This Agreement works together with the Helper Policies and the Terms of Service. If this Agreement and the Helper Policies conflict on insurance, the Helper Policies control.
2. Independent contractor
- You are an independent contractor and run your own business. You are not an employee, agent, partner or joint venturer of ShoulderCrew.
- You decide when and whether to be available, which jobs to accept, and how to do the work. You provide your own vehicle, tools and equipment.
- You are responsible for your own taxes, licenses and permits, and for any business registration the law requires. ShoulderCrew does not withhold taxes or provide employee benefits.
- You may work for other platforms and customers, subject to the Helper Policies and any rules of those platforms.
3. Eligibility and verification
- You must be at least 18, legally able to work in the United States, and hold a valid driver's license.
- You must pass identity, background, driving-record, insurance and equipment checks before taking jobs, and you consent to periodic re-checks as the law allows.
- You must give accurate information and keep your documents current. Screening results are handled under our Privacy Policy · Delete account.
4. Job acceptance and conduct
- You may accept or decline any job without penalty. Once you accept, you agree to complete it safely or hand it off through the app.
- Standard Jobs are jump starts, fuel delivery and spare-tire help. Tier 2 Jobs (lockout, tire change, battery install) need the general liability coverage described in the Helper Policies.
- Towing: Helpers do not tow at launch and cannot accept towing jobs. Drivers who need a tow are connected with partner tow companies, which are separate businesses with their own insurance.
- Keep all payments in the app. No cash or off-platform deals. Follow the Community Guidelines in the app.
- Do the work with care, use non-damaging methods, and stop and call 911 if anyone is in danger.
5. Pay and fees
The fees below match the Helper Policies exactly. If they ever differ, the Helper Policies control.
- Platform commission: 20% of the job price. Tips are not part of the job price and go 100% to you. Founding Helpers (the first 100) pay 10% for their first 30 days.
- Tow partners: For 12 months from the ShoulderCrew launch (planned mid-November 2026) ShoulderCrew takes no commission and no Platform & Protection fee on tow jobs, so the partner receives 100% of the tow price. The Crew Plus $50 tow credit is paid by ShoulderCrew and does not reduce the partner's payout. Any later fee applies only after 30 days' written notice.
- Platform & Protection fee: $2.00 per completed Job, never more than 10% of your payout (the job price after commission, before tips). Not charged on cancelled jobs. Shown as its own line on each payout statement.
- Onboarding and background-check fee: a one-time $29.99 that covers the cost of your screening report: the criminal background check and driving-record (MVR) check every helper must pass before taking jobs. It is waived for the first 50 helpers to sign up. Otherwise it is collected from your first payouts (up to 25% of each, before tips) rather than charged to a card, and credited back after you complete 10 jobs within 60 days of your first completed job. Refunded in full if the check is not run or the report is wrong or incomplete. Not refunded after a failed screening.
- Optional: accident premium at cost, if you choose it; Instant Pay $1.99 per cash-out, if you choose it. Weekly direct deposit is free.
- Cancellations: a pay-per-use customer who cancels after you have been on the way for more than 5 minutes pays a $10 fee, and you receive $8.00 of it.
Worked example: a $55.00 flat tire. Commission 20% = $11.00, so the payout is $44.00. The $2.00 fee is under the 10% cap ($4.40), so you receive $42.00, plus 100% of any tip. With a $7.00 tip you receive $49.00.
ShoulderCrew deducts only amounts stated in this Agreement or the Helper Policies, or that you authorize in writing, and itemizes each one. Payouts are made through our payment processor; you must complete its identity and bank setup. Payouts may be held while a dispute is reviewed.
6. Insurance
You must carry the insurance set out in the Helper Policies: your own automobile liability insurance with a business-use endorsement (at least 50/100/30 limits), plus general liability of at least $1,000,000 per occurrence and $2,000,000 aggregate for Tier 2 Jobs. ShoulderCrew's fees do not make you an insured under any ShoulderCrew policy. The Helper Policies also set the notice, cure periods and reinstatement steps if coverage lapses.
7. Responsibility and indemnity
- Each party is responsible for losses caused by its own negligence or willful misconduct.
- You indemnify ShoulderCrew only to the extent a third-party claim is caused by your own negligence, willful misconduct or breach of this Agreement or the Helper Policies.
- ShoulderCrew indemnifies you only to the extent a third-party claim is caused by ShoulderCrew's own negligence, willful misconduct, platform failure or breach of this Agreement or the Helper Policies.
- Neither party is responsible for the other's share of fault. Where both contribute, responsibility is divided in proportion to fault.
- Each party's insurance responds first to its own responsibility. This section applies only to the extent permitted by Colorado law.
8. Term and termination
- This Agreement starts when you accept it during onboarding and continues until ended.
- You may stop using the platform and close your account at any time. Finish or hand off any job in progress first.
- ShoulderCrew may pause or end your access for a material breach, unsafe conduct, fraud, a failed screening, or a lapse in required coverage that is not cured under the Helper Policies. Where the law and safety allow, we give written notice and the chance to respond.
- You may ask for a human review of a suspension within 10 days and will receive a written answer.
- Amounts owed for completed jobs are still paid after termination, less amounts allowed under this Agreement. Sections on pay, indemnity, disputes and governing law survive termination.
9. Disputes and governing law
- Contact us first at freedomrcp@gmail.com. Both sides will try in good faith to resolve a dispute informally for 30 days.
- If that fails, the parties may use mediation in Denver, Colorado, before filing suit.
- This Agreement is governed by the laws of the State of Colorado. Any lawsuit must be brought in the state or federal courts located in Denver, Colorado, unless the law requires otherwise.
- Nothing in this Agreement limits any right that the law gives you that cannot be waived.
10. General
- This Agreement, the Helper Policies and the Terms of Service are the whole agreement between you and ShoulderCrew on this subject.
- ShoulderCrew may update this Agreement with 30 days' written notice. If you keep accepting jobs after the notice period, you accept the update.
- If a part of this Agreement is found unenforceable, the rest stays in effect. You may not assign this Agreement without our consent.
